Abstract
(en) This contribution is based on the draft bill introducing the new Belgian Code of Companies and Associations as adopted after a first reading by the Trade and Economic Law Commission of the House of Representatives on November 14, 2018. Given that the limited liability company (hereinafter, "SRL") is expected to play a growing role in the years to come, the legal regime of the SRL is substantially reformed. This paper highlights the key elements of the new regime with regard to the securities issued by the SRL and to the transfer of such securities.
